Note: In this document, "we", "us", "our", "Shore Pass", or "the Platform" refers to [Legal Entity Name operating Shore Pass], contactable at info@shorepass.in. "You", "Vendor", or "Supplier" refers to any business or individual registering to list products or services on Shore Pass. By submitting a vendor registration (via the Shore Pass app, website, or a signed form), you confirm you have read, understood, and agreed to these Terms.
1. Definitions
- "Platform" means the Shore Pass mobile application, website, and related services.
- "Vendor" means a third party registered to offer products or services to End Users via the Platform.
- "Listing" means any product, service, offer, price, description, image, or other content the Vendor publishes on the Platform.
- "End User" / "Seafarer" means any user of the Platform who views Listings or engages the Vendor's products or services.
- "Content" means any text, image, logo, price, or material submitted by the Vendor.
2. Eligibility & Registration
- 2.1 The Vendor must be a legally constituted business or a lawfully operating individual capable of entering into a binding contract.
- 2.2 The Vendor must provide accurate, complete, and current registration information, including business name, registered address, contact details, applicable tax/registration numbers, KYC documents, and payout details.
- 2.3 Shore Pass may verify any information and may approve, reject, suspend, or deactivate any registration at its sole discretion.
- 2.4 Registration does not guarantee any minimum visibility, traffic, sales, or business volume.
3. Vendor Account & Responsibilities
- 3.1 The Vendor is responsible for maintaining the confidentiality and security of its account credentials and for all activity under its account.
- 3.2 The Vendor must keep its profile, Listings, pricing, availability, and contact details accurate and up to date.
- 3.3 The Vendor is solely responsible for fulfilling the products or services it lists, including quality, delivery, after-sales support, and any commitments made to End Users.
4. Compliance with Local & International Regulations
Core requirement.
- 4.1 The Vendor shall, at all times and at its own cost, comply with all applicable local, national, and international laws, regulations, codes, and standards relevant to its products, services, and operations — including, where applicable: maritime and port regulations, customs and import/export controls, sanctions and export-control regimes, consumer-protection laws, health, safety, and hygiene standards, licensing and permit requirements, data-protection laws, and taxation laws in every jurisdiction in which it operates or offers products/services.
- 4.2 The Vendor warrants that it holds and will maintain all licences, registrations, permits, and approvals required to lawfully offer its products and services in each country and port where it operates.
- 4.3 The Vendor shall not list, sell, or facilitate any product or service that is illegal, restricted, sanctioned, or prohibited in the relevant jurisdiction, or that violates international trade or maritime regulations.
- 4.4 The Vendor shall comply with all applicable anti-bribery, anti-corruption, anti-money-laundering, and fair-trade laws, and shall not engage in any improper or unethical practice in connection with the Platform.
5. Listings — Accuracy & No Fake or Misleading Products
Core requirement.
- 5.1 The Vendor shall not create any fake, false, fraudulent, duplicate, or misleading Listing. Every Listing must represent a genuine, real, and available product or service that the Vendor is able and authorised to provide.
- 5.2 All Listing information — including descriptions, specifications, prices, images, availability, location, and any claims — must be accurate, truthful, and not misleading. Images must depict the actual product or service offered and must not infringe any third-party rights.
- 5.3 The Vendor shall not: (a) list counterfeit, replica, grey-market, or unauthorised goods; (b) misrepresent the nature, origin, quality, or price of any product or service; (c) use bait-and-switch pricing; (d) post fake reviews or manipulate ratings; or (e) impersonate any other business.
- 5.4 Shore Pass may, at its sole discretion and without prior notice, edit, hide, reject, or permanently remove any Listing that it reasonably believes to be fake, misleading, non-compliant, or otherwise in breach of these Terms.
- 5.5 The Vendor shall update or remove any Listing that becomes inaccurate, unavailable, or unlawful, and is solely responsible for the consequences of any false or misleading information.
6. Platform Role & Relationship of the Parties
- 6.1 Shore Pass operates as a technology platform that connects Vendors with End Users. Unless expressly stated otherwise, Shore Pass is not a party to any transaction between a Vendor and an End User and is not the seller, manufacturer, or service provider of any listed product or service.
- 6.2 Any contract for a product or service is concluded directly between the Vendor and the End User. The Vendor is solely responsible for that transaction and for resolving any related disputes, complaints, refunds, or claims.
7. Commercial Terms
- 7.1 Any applicable listing fees, commissions, subscription charges, or payout terms will be as set out in the Vendor's plan or a separate commercial agreement [insert fee schedule / commercial terms].
- 7.2 The Vendor is responsible for all taxes applicable to its sales and earnings.
8. Intellectual Property & Content Licence
- 8.1 The Vendor retains ownership of its own Content but grants Shore Pass a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, and promote that Content on and in connection with the Platform for as long as the Listing is active.
- 8.2 The Vendor warrants that it owns or is licensed to use all Content it submits and that the Content does not infringe any third-party intellectual property, privacy, or other rights.
- 8.3 The Vendor shall not use the Shore Pass name, logo, or trademarks without prior written consent.
9. Prohibited Conduct
The Vendor shall not: violate any law or these Terms; post fake, harmful, offensive, or infringing Content; attempt to gain unauthorised access to the Platform; introduce malware; scrape or misuse Platform data; harass End Users; or engage in any activity that damages Shore Pass's reputation or the integrity of the Platform.
10. Indemnification of Shore Pass
Core requirement.
- 10.1 The Vendor shall indemnify, defend, and hold harmless Shore Pass, its parent, affiliates, directors, officers, employees, agents, and partners (the "Indemnified Parties") from and against any and all claims, demands, suits, proceedings, liabilities, losses, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- (a) the Vendor's products, services, or Listings, including any defect, non-conformity, false or misleading description, or failure to deliver;
- (b) any fake, fraudulent, or misleading Listing or Content posted by the Vendor;
- (c) the Vendor's breach of these Terms or of any applicable local, national, or international law or regulation;
- (d) any infringement of third-party intellectual property, privacy, or other rights by the Vendor or its Content;
- (e) any dispute, claim, or complaint between the Vendor and an End User; and
- (f) any negligence, fraud, or wilful misconduct of the Vendor.
- 10.2 This indemnity is in addition to any other remedies available to Shore Pass and survives the termination of the Vendor's registration.
11. Limitation of Liability
- 11.1 To the maximum extent permitted by law, Shore Pass shall not be liable for any indirect, incidental, special, or consequential loss, or for any loss of profit, revenue, data, or goodwill, arising from the Vendor's use of the Platform.
- 11.2 Shore Pass's total aggregate liability to the Vendor under these Terms shall not exceed the total fees (if any) paid by the Vendor to Shore Pass in the [three (3)] months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
- 11.3 The Platform is provided "as is" and "as available." Shore Pass does not warrant uninterrupted or error-free operation.
12. Confidentiality
Each party shall keep confidential any non-public information disclosed by the other and use it only for the purpose of the relationship. This obligation survives termination.
13. Suspension, Removal & Termination
- 13.1 Either party may terminate the registration at any time on written notice.
- 13.2 Shore Pass may suspend or terminate the Vendor's account, and remove any Listing, immediately and without liability where the Vendor: breaches these Terms; posts fake, misleading, or unlawful Listings; violates any applicable regulation; provides false information; or acts fraudulently, unethically, or in a manner harmful to End Users or the Platform.
- 13.3 On termination, all Listings will be removed, and the Vendor's confidentiality, indemnity, and accrued payment obligations survive.
14. Force Majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control (natural disaster, fire, flood, pandemic, war, government or port action, network or infrastructure failure, etc.), provided it notifies the other promptly and mitigates the impact.
15. Governing Law & Dispute Resolution
- 15.1 These Terms are governed by the laws of [India / specify jurisdiction], without regard to conflict-of-law principles.
- 15.2 The parties shall attempt to resolve disputes amicably. Failing resolution, disputes shall be referred to arbitration under the [Arbitration and Conciliation Act, 1996], seated in [Mumbai, India], before a sole arbitrator, in the English language.
- 15.3 Subject to arbitration, the courts at [Mumbai, India] shall have exclusive jurisdiction. (Shore Pass operates globally; where the Vendor or End Users are located in other jurisdictions, mandatory local consumer-protection, data-protection, and other applicable laws of those jurisdictions continue to apply.)
16. General
- 16.1 Amendments — Shore Pass may update these Terms from time to time; continued use of the Platform constitutes acceptance of the updated Terms.
- 16.2 Notices — Notices shall be in writing to the registered email/address of the parties (Shore Pass at info@shorepass.in).
- 16.3 Severability — If any provision is held invalid, the remaining provisions continue in effect.
- 16.4 Assignment — The Vendor may not assign its rights or obligations without Shore Pass's prior written consent.
- 16.5 Entire Agreement — These Terms, together with any commercial agreement and the Privacy Policy, constitute the entire agreement between the parties.
17. Acceptance
By completing vendor registration with Shore Pass, the Vendor confirms acceptance of these Terms & Conditions.
